MaestroConference Terms of Service

TERMS OF SERVICE
These Terms of Service constitute the full legal agreement between you and MaestroConference, Inc. that governs your use of the MaestroConference teleconferencing service and website (“Service”). Your use of the Service constitutes acceptance of these terms. "You" refers to the individual who registered and/or provided their credit card.

Service
MaestroConference will provide the Service in accordance with these Terms of Service. MaestroConference may, at its sole discretion, discontinue the Service or modify features of the Service from time to time without prior notice. Because the use of the Service involves a telephone, hardware, software, and Internet access, your ability to use the Service may be affected by the performance of these components. High speed internet access and a standard wired telephone line are recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility.

Offering Service on an As-Is Basis
You understand and acknowledge that the Service is being provided on an as-is basis. We have made best efforts to test the product, but it may not work correctly at all times, or in all circumstances. You assume all risks and all costs associated with your use of the service, including: inability to initiate or complete a call, call quality, number of users on a call, call recording, call management, and any customer data stored on our systems.

Toll-Based Conference Calling Service
MaestroConference is a toll-based conference calling service. It allows users from multiple locations to dial into a phone number, enter an access code, and connect all of their phone lines. All callers are individually responsible for paying for any incurred long distance phone charges, cellphone minutes, or other charges related to dialing into the Service.

Limits of Service
MaestroConference reserves the right to apply limits to the service, such as the number of callers who can participate in a conference simultaneously, the length of a conference, the hours during which a conference can be held, and any other limits we deem necessary.

Changing the Service
Maestro reserves the right to modify, suspend or stop the Service (or any part thereof), either temporarily or permanently, at any time or from time to time, with or without prior notice to you. Maestro may provide notice of any such changes to the Service by posting them on its website and/or sending email to you. You acknowledge that Maestro has no obligation to provide, or continue to provide the Service, or any part thereof, now or in the future.

Feedback
As part of using the Service, Maestro will provide you with the opportunity to submit comments, suggestions, or other feedback regarding your use of the Service. You agree that in the absence of a separate written agreement to the contrary, Maestro will be free to use any feedback you provide for any purpose.

Your Account
You are responsible for all activity that takes place under your account. You agree that you are responsible for keeping your password confidential and secure, and further understand that you are solely responsible and liable for any activities that occur under your account.

Unsolicited Commercial Email (SPAM)
You agree that you will not use the Service to send unsolicited commercial email to anyone. Your further agree not to use the Service to communicate any message or material that is harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful. MaestroConference reserves the right to investigate and take appropriate action against anyone who, in MaestroConference's sole discretion, is suspected of violating this provision, including without limitation, reporting you to law enforcement authorities.

Recordings
MaestroConference allows a conference host to record any conference, and to access that recording for 30 days, after which time recordings will no longer be available.

Charges
You agree that MaestroConference may charge your credit card all amounts due and owing for the Service, including Service fees, setup fees, subscription fees, overage fees, or any other fee or charge associated with your account. MaestroConference may change prices at any time without prior notice. You will be responsible for all costs and expenses incurred by MaestroConference in connection with collection activity, and MaestroConference may collect interest at the lesser of 1.5% per month or the highest amount permitted by law on any amounts not paid when due.

Cancellation
If you have signed up for a 30-day free trial, you can may cancel at any time during that 30 days, and your credit card will not be charged. If you cancel after a 30-day free trial, we will close your account immediately, and stop billing your credit card for subsequent months of Service, but you will not receive a refund for any amounts already paid. You can cancel your account at any time by either (a) writing to customer service at customersupport@maestroconference.com, or (b) logging into your account and following the cancellation process built into the Service.

If you have signed up for Service with a 30-day money back guarantee, you can cancel at any time during that 30 days, and we will refund the full amount of payment for monthly or yearly Service. We will not provide refunds for Concierge Services, toll-free per minute charges, or account setup fees.

The 30-day free trial is available for new customers only. Existing or returning customers who upgrade or downgrade their subscription, reactivate their subscription, or purchase a new subscription will be billed immediately for the Service.

No Resale of Service
You agree that you will not reproduce, copy, duplicate, sell, resell, rent or trade the Service (or any part thereof) for any purpose, without express consent of the CEO of MaestroConference. You may of course otherwise integrate MaestroConference into your business, and sell courses or other content that uses the platform.

Privacy
Our use of any of your personal information you provide is subject to our current Privacy Policy. We reserve the right to use your name and/or company and/or website address in our promotional materials. All of our calls may be recorded for the purpose of monitoring our call quality.

Maestro Proprietary Rights
You acknowledge that we own the Service, and that it contains proprietary and confidential information that belongs to us.

Modifications to Terms of Service
MaestroConference may amend these Terms at any time by posting a revised Terms of Service on our website (www.maestroconference.com), and/or sending information to our customers via email.

Indemnity
You hereby agree, at your expense, to indemnify, defend, and hold MaestroConference harmless from and against any loss, cost, damages, liability, or claim related to your use of the Service.

General Terms
These terms are governed in all respects by the laws of the State of California as such laws are applied. Both parties submit to personal jurisdiction in California, and further agree that any cause of action relating to these Terms shall be brought in a court in Oakland, California. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
